These Terms of Use ("Terms") govern your use of omniwise.co (the "Site"), operated by OmniWise LLC ("OmniWise," "we," "us," or "our"). By using the Site, you agree to these Terms. They cover the Site only — our portfolio products, including BiteWise, are separate products with their own terms. See "Our portfolio products" below.

What this site is

The Site is informational: it describes OmniWise as a company and introduces our portfolio of products. Nothing on the Site is professional, medical, financial, or legal advice, and nothing here should be relied on as such.

Our portfolio products

OmniWise is a holding company. Each product we build — starting with BiteWise — is a separate product, governed by its own terms of use and privacy policy, not these Terms. Any health, dietary, or financial guidance a portfolio product provides is that product's responsibility under its own terms, and should never replace advice from a qualified professional, such as a doctor, pharmacist, or financial advisor.

Intellectual property

The content on the Site — including text, design, and branding — belongs to OmniWise LLC unless otherwise noted. You may link to the Site; reproducing its content elsewhere without our prior consent is not permitted.

Third-party services

The feedback form on the Site is provided by Google Forms. Use of that form is also subject to Google's own terms for that service.

Disclaimer of warranties

The Site is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Site will be error-free, uninterrupted, or current at every moment.

Limitation of liability

To the fullest extent permitted by law, OmniWise LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or goodwill, arising from or related to your use of the Site.

Indemnification

You agree to indemnify and hold OmniWise LLC harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms.

Governing law and venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site is subject to the exclusive jurisdiction of the state and federal courts located in Illinois, and you consent to personal jurisdiction there.

Dispute resolution

If you have a dispute with us, we ask that you first contact us at support@omniwise.co so we can try to resolve it informally and directly.

Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OmniWise LLC regarding the Site, and supersede any prior agreements on this subject.

Assignment

We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer these Terms without our prior written consent.

Changes to these terms

We may update these Terms from time to time. Material changes will be reflected here, with the date at the top revised accordingly. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
